1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the Alice AI website aliceai.com.au (“Website”) and related services (“Services”).
By signing up, subscribing, or using any of our Services, you agree to be bound by these Terms. If you do not agree, you must not use the Website or Services.

These Terms form a legally binding agreement between you (“the Client”, “you”, “your”) and Alice AI (“we”, “us”, “our”), located at 140 Wellington Road, East Brisbane QLD 4169, Australia.

2. Description of Services

Alice AI provides AI concierge solutions and related automation products for business use. Services may include chatbots, voice assistants, booking automation, analytics reporting, and customer engagement tools.
The scope, inclusions, and pricing for each plan are described on our Website or within your signed Service Agreement or Subscription Form.

3. Eligibility

To use our Services, you must:

Be at least 18 years of age.
Have the authority to enter into binding agreements on behalf of yourself or your business.
Provide accurate, complete, and current information when registering or subscribing.

4. Account Registration and Security

You may be required to create an account to access certain Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
You agree to notify us immediately of any unauthorised use or security breach. We are not liable for any loss or damage resulting from your failure to safeguard your login credentials.

5. Subscription and Direct Debit Agreement

By subscribing to an Alice AI plan, you authorise us to charge your nominated payment method (credit card or direct debit) for the agreed fees on a recurring basis (weekly, fortnightly, or monthly, depending on your plan).

Direct Debit Authorisation:

By providing your bank or card details, you authorise Alice AI (and its payment processor) to debit the nominated account for fees due under your subscription.
Charges will occur on your scheduled billing date and will continue until cancelled according to Section 6 below.
If a payment fails, you authorise us to re-attempt collection or to contact you for updated details.
You are responsible for ensuring sufficient funds are available to process payments when due.
We may suspend or terminate your access to Services if payment is unsuccessful or delayed.

All payments are processed in Australian dollars (AUD) and may include GST where applicable.

6. Cancellations, Pauses, and Refunds

You may cancel your subscription at any time by contacting support@aliceai.com.au.

Notice period: Cancellations require at least 7 days’ notice before your next billing date to avoid further charges.
Refunds: We do not offer refunds for partial billing periods, change of mind, or unused time, except as required under Australian Consumer Law.
Pausing services: Some plans may allow temporary suspension; please contact support to confirm eligibility.

If your account is cancelled, your access to all Services and data may be disabled after the final billing period.

7. Service Delivery and Use

Alice AI provides its Services using commercially reasonable care and skill. However, we do not guarantee that Services will be uninterrupted, error-free, or compatible with all devices or systems.

You agree not to use the Services for:

Any unlawful, fraudulent, or harmful purpose.
Collecting or processing sensitive personal information without proper consent.
Infringing intellectual property or privacy rights.
Disrupting or damaging our systems, servers, or reputation.

We may suspend or terminate access if these Terms are violated.

8. Intellectual Property

All content, code, software, designs, trademarks, and materials associated with Alice AI are the property of Alice AI Pty Ltd or its licensors.
You are granted a limited, non-exclusive, non-transferable licence to use the Services for your internal business purposes only.
You must not copy, modify, distribute, or resell our materials or Services without written permission.

9. Data Ownership and Privacy

All personal data collected through our Services is handled according to our Privacy Policy.
You retain ownership of any customer data you upload or generate through your account, but you grant us a licence to host, use, and process that data solely for the purpose of providing the Services.

We take reasonable steps to safeguard your information but cannot guarantee absolute security.

10. Third-Party Integrations

Our Services may integrate with third-party platforms (e.g., Twilio, Airtable, Voiceflow, Google Sheets).
You are responsible for complying with the third-party terms that govern your use of those services. Alice AI is not liable for any disruptions or losses resulting from third-party system failures.

11. Fees, Price Changes, and Taxes

All prices are listed in AUD and may include GST.
We reserve the right to adjust pricing at any time with at least 14 days’ notice. Continued use of the Service after such notice constitutes acceptance of the updated pricing.

12. Liability and Indemnity

To the extent permitted by law:

We exclude all warranties, conditions, and guarantees not expressly stated in these Terms.
Our liability for breach of any non-excludable warranty is limited to the resupply or cost of resupplying the Services.
We are not liable for any indirect, consequential, or incidental damages, including loss of profits, data, or business opportunity.

You agree to indemnify and hold Alice AI, its officers, and employees harmless from any claims, losses, or damages arising from your misuse of the Services or breach of these Terms.

13. Termination

We may terminate your account or access to Services if you:

Fail to pay fees when due;
Breach these Terms; or
Engage in misuse or unlawful activity.

Upon termination, all outstanding fees remain payable, and any data stored may be deleted after 30 days.

14. Changes to Terms

We may update these Terms periodically. Updated versions will be posted on our Website with the effective date shown above. Continued use of the Services after updates means you accept the new Terms.

15. Governing Law

These Terms are governed by the laws of Queensland, Australia. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts of Queensland.
